Terms of Use

1. Introduction Welcome to Subvert Cooperative LCA ("Subvert," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website (www.subvert.fm) and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility You must be at least 13 years old or the age of majority in your jurisdiction, whichever is older, to use the Service. If you are between 13 and the age of majority, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf. By using the Service, you represent and warrant that you meet this age requirement. 

3. Accounts 

3.1 Account Creation. Certain features require registration. You agree to provide accurate information and keep it updated. You may delete your account at any time via your account settings or by contacting support. 

3.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. License Grants 4.1 License to You. Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for personal, non‑commercial purposes. 

4.2 License to Subvert. By uploading content ("Your Content"), you grant Subvert a worldwide, non‑exclusive, royalty‑free, fully paid license to host, reproduce, distribute, stream, publicly perform, and display Your Content, and to create technical adaptations solely to operate and promote the Service. This license ends when you remove Your Content from the Service.

5. User Content & AI Policy 

5.1 Ownership & Warranty. You retain ownership of Your Content. By uploading any Content to Subvert, you represent and warrant that you are the sole author and owner of such Content (or have obtained all necessary rights, licenses, consents, and permissions to grant the rights described in these Terms) and that you are not misrepresenting your identity or authorship. You further warrant that Your Content does not infringe, misappropriate, or violate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party. Uploading content on behalf of another person without explicit authorization is prohibited. 

5.2 AI-Generated Content. You may upload AI-assisted content provided you have all rights to its use. Fully AI-generated works that imitate existing artists without permission are prohibited. Subvert reserves the right to remove any content it determines infringes rights or fails our originality standards. 

5.3 Protection from AI Exploitation. Subvert will not use Your Content to train or develop AI models without your explicit consent and prohibits third parties from scraping Subvert content for AI training.

6. Revenue, Payments & Taxes 

6.1 Payment Processing. All transactions are processed via Stripe Connect. You must comply with Stripe’s terms. Subvert is not responsible for Stripe’s actions or fees. 

6.2 Platform Fees & Payouts. Subvert operates on a 0% platform fee model. Artists retain 100% of their sales revenue, with payment processing fees deducted from each transaction via Stripe Connect. At checkout, buyers may optionally add a customizable platform tip to support Subvert's cooperative operations. Platform tips are processed separately, with associated processing fees absorbed by Subvert. Payout Process: Artists may manually trigger payouts through their dashboard with a minimum threshold of $20.00. Payouts are typically processed within 2-7 business days of request. Processing times may vary based on your financial institution and location. 

6.3 Chargebacks & Refunds. You are responsible for chargebacks, refunds, and related fees. Subvert may deduct these amounts from your balance or future payouts. 

6.4 Taxes. You are solely responsible for all taxes on earnings from the Service. Subvert may require tax documentation (e.g., W‑9, W‑8BEN) and may withhold amounts as required by law.

7. Purchases and Downloads

7.1 Digital Purchases. When you purchase music, you receive a personal, non-commercial license to download, stream, and enjoy the content. You may make personal copies and share with immediate family members, but may not redistribute, resell, or use commercially without separate agreement with the artist.

7.2 Download Access. Download links are provided immediately after purchase and remain active indefinitely. You can re-download purchased content through your Library at any time. Email confirmations are sent for all purchases.

7.3 Refunds. Digital music purchases are final sale. Refunds may be issued solely at our discretion for technical issues preventing download access within 48 hours of purchase. Platform tips are non-refundable.

7.4 File Quality and Issues. Artists are responsible for uploading correct, high-quality files. If you receive corrupted or incorrect files, contact support within 48 hours - we'll work with the artist to resolve the issue or process a refund if unfixable.

7.5 Account Access. Purchased content is tied to your account. You're responsible for maintaining account access - we cannot transfer purchases between accounts.

8. PRO Royalties Subvert does not collect or remit performance or mechanical royalties to Performance Rights Organizations (PROs). You are responsible for securing and paying any applicable royalties for your content.

9. Content Removal & DMCA 

9.1 User Removal. You may delete your Content at any time; deletion removes it from our active platform but does not retract copies already distributed. 

9.2 Platform Removal. We reserve the right to remove any content that violates these Terms or applicable law. We comply with the Digital Millennium Copyright Act (DMCA) and will terminate repeat infringers. Submit infringement notices to info@subvert.fm with required DMCA information.

10. Acceptable Use You agree not to use the Service to upload or distribute unlawful, infringing, defamatory, obscene, or harmful content; to harass others; to distribute malware; or to scrape or mine data from the Service.

11. Third‑Party Content & Links The Service may contain links to third‑party sites or services. We do not endorse or control these external resources and are not liable for their content or practices.

12. Termination 12.1 By You. You may terminate your account at any time. Upon termination, your Content will be removed from public view and your license to Subvert ends. 12.2 By Subvert. We may suspend or terminate your access for violation of these Terms or any applicable law. Upon termination for cause, any pending earnings may be forfeited. 12.3 Survival. Sections 4–11, 13–16 survive termination.

13. Disclaimers & Limitation of Liability The Service is provided “AS IS” without warranties. To the maximum extent permitted by law, Subvert’s liability is limited to the greater of $50 or amounts you paid Subvert in the prior 12 months. We are not liable for indirect, incidental, or consequential damages.

14. Indemnification You agree to indemnify Subvert from any claim arising out of your use of the Service, Your Content, or violation of these Terms.

15. Governing Law & Dispute Resolution These Terms are governed by Delaware law. Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with a 30‑day opt‑out period. Arbitration will be individual only; class actions are waived. If arbitration is unenforceable, disputes will be brought exclusively in Delaware state or federal courts.

16. Changes to Terms We may modify these Terms at any time by posting updated terms on the Service. Significant changes will be communicated by email or prominent notice. Continued use constitutes acceptance of changes.

17. Miscellaneous Assignment: You may not assign these Terms without our consent; Subvert may assign freely. Entire Agreement: These Terms, Privacy Policy, and Payment Policy constitute the entire agreement. Severability: Invalid provisions will be modified to the extent necessary.
